Terms of Service
In short
- Tellyport is a business service for controlling the configuration of apps you build or operate.
- You own your configuration and your users' data. We process it only to run the service for you.
- Paid plans renew monthly or annually through Stripe until you cancel; cancellation takes effect at the end of the paid billing period.
- You are responsible for what you publish to your apps. Use approvals, canary releases, and rollback to publish safely.
This summary is for convenience only. The full terms below apply.
1. Agreement
These Terms of Service ("Terms") are an agreement between LIQWIZSOLUTIONS LTD, a company registered in England and Wales under company number 16203078, with its registered office at 127 Prescot Road, Fairfield, Liverpool, L7 0LB, England ("Liqwiz", "we", "us"), and the organization that creates a Tellyport account or uses the service ("Customer", "you").
By creating an account, accepting an invitation, or using Tellyport, you agree to these Terms. If you accept them on behalf of an organization, you confirm that you are authorized to bind it. If you have a separate signed agreement with us, that agreement takes precedence where it conflicts with these Terms.
Tellyport is provided for business use only. It is not offered to consumers.
2. The service
Tellyport lets you manage the backend servers, API responses, feature flags, release rollouts, and emergency controls that your installed applications read at runtime ("Service"). The Service includes the web console, APIs, gateway, software development kits ("SDKs"), and documentation.
We may improve, change, or retire features over time. If we remove a feature that is material to a paid plan, we will give you reasonable advance notice.
3. Accounts and security
- You must give accurate account information and keep it up to date, including a working email address.
- You are responsible for everything done through your accounts, client keys, and API credentials, and for the roles you assign to team members.
- Keep passwords, recovery codes, client keys, admin tokens, and webhook secrets confidential. We recommend two-factor authentication or single sign-on for every member.
- Tell us promptly at legal@liqwizsolutions.uk if you suspect unauthorized access.
4. Acceptable use
You must not, and must not allow others to:
- use the Service to break the law, infringe others' rights, or distribute malware, phishing, or deceptive content;
- route traffic through the gateway to systems you are not authorized to reach, or attempt to reach private or internal networks;
- probe, scan, or test the security of the Service without our written permission, or bypass rate limits, plan limits, or access controls;
- interfere with the Service or other customers, or place an unreasonable load on our infrastructure;
- resell or provide the Service to third parties as a standalone product without our written agreement; or
- copy, reverse engineer, or create a competing product from the Service, except where the law expressly allows it.
5. Your data
"Customer Data" means the configuration, routes, keys, device telemetry, and other content you or your applications submit to the Service. You keep all rights in Customer Data.
- You grant us a limited right to host, process, and transmit Customer Data only to provide, secure, and support the Service for you.
- For personal data about your end users and devices, you are the controller and we act as your processor. Our Privacy Policy explains our practices. A data processing agreement is available on request at legal@liqwizsolutions.uk.
- You are responsible for having a lawful basis and any notices or consents needed for the data your applications send, and for the accuracy and legality of everything you publish to your applications.
- You can export your configuration and audit history while your account is active. After termination we delete Customer Data as described in section 13.
6. Plans and payment
Free plan
New organizations start on the Free plan, with the limits shown on our pricing page and in the console (currently one app and 500 active devices). No card is needed for the Free plan.
Paid plans
- Paid plans (Starter, Growth, and Agency) are billed monthly or annually in advance in US dollars through our payment processor, Stripe. Prices are shown on our pricing page and at checkout, exclusive of any taxes that apply.
- Subscriptions renew automatically at the end of each billing period until cancelled. You can change plans, update your card, or cancel at any time under Settings > Plan & billing > Manage billing.
- Cancellation takes effect at the end of the current billing period. Except where the law requires otherwise, fees already paid are not refunded for partial periods.
- Each plan includes a number of active devices. On paid plans, active devices above the included number are billed as overage at the rate shown on our pricing page (currently $8 per 1,000 devices per month). On the Free plan, new devices cannot register once the limit is reached until you upgrade; devices already registered continue to receive their configuration.
- If a payment fails, we and Stripe will retry it and notify the account owner. If it remains unpaid, the subscription may be cancelled and the project returned to Free plan limits.
- We may change prices with at least 30 days' notice. The new price applies from your next billing period after the notice period.
Enterprise
Enterprise plans, service levels, and invoicing terms are agreed in a separate order form.
7. Availability and support
We work to keep the Service available and secure, but we do not promise that it will be uninterrupted or error-free unless a service level is included in a signed Enterprise order. Our SDKs are designed so that your applications keep their last verified configuration if the Service cannot be reached.
Support is available through the in-console support desk and by email. Response times depend on your plan.
8. Intellectual property
We and our licensors own the Service, including the software, SDKs, documentation, and branding. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable right to use the Service and to include our SDKs in your applications for use with the Service during your subscription. Open-source components are licensed under their own licenses.
If you send us feedback, we may use it without obligation to you.
9. Confidentiality
Each party will protect the other's non-public information with reasonable care, use it only to perform under these Terms, and share it only with people who need it and are bound by similar duties. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law.
10. Warranties
We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided "as is" and we exclude all other warranties and conditions, including fitness for a particular purpose. You are responsible for testing the configuration you publish and for the behavior of your own applications and servers.
11. Limitation of liability
- Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot legally be limited.
- Neither party is liable for indirect or consequential loss, or for loss of profits, revenue, business, goodwill, or data, even if it was foreseeable.
- Each party's total liability arising from these Terms in any 12-month period is limited to the fees you paid us for the Service in that period. If you are on the Free plan, our total liability is limited to £100.
12. Indemnity
You will defend and compensate us against third-party claims arising from Customer Data, from configuration you publish to your applications, or from your breach of section 4, provided we notify you promptly and let you control the defense.
13. Suspension and termination
- You may stop using the Service and cancel your subscription at any time.
- We may suspend access immediately if needed to protect the Service, other customers, or third parties, or if you materially breach these Terms. Where reasonable, we will tell you first and give you a chance to fix the problem.
- Either party may terminate for a material breach that is not fixed within 30 days of written notice.
- After termination you can request an export of your configuration within 30 days. We then delete Customer Data from active systems, and from backups as they expire, unless the law requires us to keep it.
- Sections 5, 8, 9, 10, 11, 12, and 15 continue after termination.
14. Changes to these terms
We may update these Terms. For material changes we will give at least 30 days' notice by email or in the console before they take effect. If you do not agree, you may cancel before the change takes effect. Continuing to use the Service after that date means you accept the updated Terms.
15. Governing law
These Terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If any part of these Terms is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them to an affiliate or a successor to our business.
